If you participate in the Program, you accept these terms and conditions (“Terms”) of Mercedes-Benz Canada Inc. (“MBC”) apply, and you acknowledge that you fulfil all Eligibility Requirements (defined below). In these Terms, “Holt Renfrew” is HOLT, RENFREW & CO., LIMITED, and a “Dealership” is a participating Mercedes-Benz dealership in Canada.

Eligibility Requirements
To participate, you must:
1. Hold a valid G-class license (Ontario) or equivalent;

2. Receive an email invitation from MBC, Holt Renfrew, or a Dealership containing a unique participant code;

3. For test drives occurring at the Holt Renfrew store, visit the participating store; For test drives occurring at a Dealership, visit https://cloud.email-mercedesbenz.ca/enUnleashLead or https://cloud.email-mercedesbenz.ca/enUnleashDealerLead (the “Registration Site”) to complete an application for a test drive, including entering your personal information, selecting your preferred, participating Dealership in Canada and entering the unique participant code;

4. Where permitted by law, sign the Dealership’s or MBC’s release or limitation of liability for the test drive;

5. Complete a test drive of the AMG GT or SL, AMG GLE, AMG GLC, or such other AMG model(s) as are available at Holt Renfrew between September 25, 2025 to October 12, 2025 or the Dealership between October 6-19, 2025;

6. For test drives occurring at a Dealership, complete the mandatory survey about your experience; and

7. Pass Canadian sanctions screening.

The foregoing are collectively, the “Eligibility Requirements”.

Additional Terms and Conditions

This offer is valid from September 25, 2025 at 12:00pm EST to October 19, 2025 at 11:59 pm EST, limited only to the recipient of the invitation and is non-transferrable. The email address receiving the invitation must be used in each step of the Program. Limit of one digital Gift Card (defined below) per person. A total of 3,000 gift cards of $50.00 CAD are available (each, a “Gift Card”), while quantities last.

MBC may cease offering the Program, in full or in part, at any time without notice. Without limiting the generality of the foregoing, MBC may cancel the Program where operational, technical, or legal circumstances prevent MBC from delivering the Program as intended, where force majeure events materially affect the Program, or where third-party services, products, venues, locations or platforms to the Program’s operation are unavailable, disrupted or terminated. Except if you are a resident of the Province of Québec and subject to applicable law, MBC may, at its sole discretion, amend the Program at any time without prior notice. If MBC amends the Program, your continued participation after receiving notice will constitute acceptance of the amendment. If you do not accept an amendment, you must cease participating in the Program immediately.

MBC and the participating Dealerships may verify eligibility at any time and may, at their discretion acting reasonably and in good faith, disqualify any individual from the Program or withhold, cancel, or recover a Gift Card if the individual: (i) does not meet the Eligibility Requirements, (ii) fails to complete any required steps within the stated timelines, including the survey, (iii) provides false, misleading, or incomplete information, (iv) attempts to circumvent Program processes, including by using multiple identities, codes, or emails, (v) engages in unlawful, abusive, harassing, unsafe, or disruptive conduct, or (vi) otherwise violates these Terms or applicable law. Decisions are final and binding, subject to applicable law. This offer is void where prohibited by law.

MBC or a Dealership may refuse, cancel, or terminate a test drive at any time for safety, insurance, licensing, operational, or vehicle availability reasons, including if the participant appears impaired, does not hold a valid driver licence, or does not provide or complete any document reasonably required for the test drive.

Gift Cards will be delivered by MBC, free of charge, within one hour of completion of the survey, provided the participant meets the Eligibility Requirements.

Gift Cards cannot be used for price adjustments on previous purchases, nor returned, refunded or redeemed for cash, nor combined with any other offer. Offer conditions are at the discretion of Holt Renfrew and may be subject to change.

Use of the Registration Site and Prohibited Conduct

The Registration Site is maintained for your personal use and viewing, and MBC reserves the right to change data, references, specifications, or any other information contained in or on the Registration Site at any time, without notice to you. MBC hereby grants you a personal, limited, revocable, non-transferable, non-assignable and non-exclusive licence to access, use, read of the Registration Site for your personal, non-commercial, and not-for-profit use only. Your use of the Registration Site does not transfer to you any ownership or other rights in the Registration Site or its Content (defined below). You may use the Registration Site only in the manner described expressly in the Terms and subject to all applicable laws. Using the Registration Site for any other purpose or in any other manner is strictly prohibited.

You agree to access and use the Registration Site and its Content (as defined below) only for lawful purposes, and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Registration Site by any third party. Such restriction or inhibition includes, without limitation, (i) conduct which is unlawful, or which may harass or cause distress or inconvenience to any person, (ii) the transmission of obscene, or offensive content, or (iii) the disruption of normal flow of dialogue within the Registration Site, or anything which in the sole discretion of MBC imposes an unreasonable or disproportionately large load on the Registration Site’s infrastructure.

Without limiting the generality of the foregoing, you are prohibited from attempting to circumvent and from violating any security measures of the Registration Site. You are also prohibited from, without limitation: (i) modifying, translating, reverse engineering, decompiling, disassembling the Registration Site, the Content (as defined below) or any part thereof; (ii) using any robot, spider, or other automatic device, process, or means to access the Registration Site for any purpose, including monitoring or copying any of the material, and Content on the Registration Site; (iii) attempting to breach or breaching the security and/or authentication measures which are not authorized; (iv) restricting, disrupting or disabling service to users, hosts, servers, or networks; (v) illicitly reproducing TCP/IP packet header; (vi) disrupting network services and otherwise disrupting MBC ability to monitor the Registration Site; (vii) renting, leasing, sublicensing or transferring any rights in the Registration Site or the Content; (viii) violating, plagiarizing or infringing on the rights of MBC or any third party, including intellectual property rights, privacy, contractual or other personal or proprietary rights; (ix) any unauthorized use of the Content (including use on any other website or networked computer environment); (x) introducing any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; (xi) attacking the Registration Site via a denial-of-service attack, distributed denial-of-service attack, flooding, mailbombing, or crashing; (xii) engaging in any conduct which MBC, in its sole discretion, determines to be detrimental to its interests, including, without limitation, acting in a manner contrary to these Terms, or intentionally interfering with the proper working of the Registration Site or MBC’s computer systems; and (xiii) modifying any of the pages, removing or altering any visible or non-visible identification, marks, notices, or disclaimers.

Links to the Registration Site without the express written permission of MBC are strictly prohibited. The framing, mirroring, scraping and/or data mining of the Registration Site or any of its Content (defined below) in any form and by any means is also strictly prohibited. MBC reserves the right to move or change our Registration Site URL at any time in order to meet changing business needs and to continually improve our online service.

Data Privacy and Promotional Messages.

Your personal information will be used in accordance with Privacy Policy | Mercedes-Benz Canada. You will not be added to the MBC mailing list unless you expressly request same via the Registration Site.

Intellectual Property.

As between MBC and you, the Program, and any and all content, material, page headers, custom graphics, button icons, and scripts and the presentation, arrangement, coordination, enhancement and selection of such and other information in text, graphical, video and audio forms, images, icons, software, designs, applications, data, and other elements available on or through the Program, (collectively referred to as “Content”) are the property of MBC and is protected by Canadian and/or international intellectual property laws.

As between MBC and you, all brand names, service names, product names, titles, and copyrights used in the Program are trademarks or copyrights of MBC. All rights are reserved. No permission is given by MBC for their use, distribution, modification, or reproduction by any other person, and such use may constitute an infringement of the holders’ rights. It is strictly prohibited to use in any way the trade names, trademarks and logos displayed on the Program or any other word, expression, name or symbol which could cause confusion as to the link or association of the user with MBC or its endorsement or sponsorship of user’s products or services. Nothing appearing on the Program or elsewhere shall be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any trade names, trademarks and logos displayed on the Registration Site.

In the event you send MBC, feedbacks, comments or other types of unsolicited comments (collectively, “Feedback(s)”), you agree that MBC is not required to (i) use any Feedback, (ii) identify you when using any Feedback you may have submitted, but may do so at MBC’s sole discretion, nor (iii) treat any Feedback as confidential, and will not be entitled to use the Feedbacks, or any part thereof for any purposes whatsoever. By submitting Feedback, you hereby grant (or warrant that the owner of the Feedback grants) to MBC and its assigns a perpetual, royalty-free, irrevocable, unrestricted, non-exclusive, assignable, transferable, sublicensable, right and licence to copy, modify, publish, create derivative works from, distribute, publicly display and otherwise use the Feedback or any ideas, concepts, know-how or techniques associated with the Feedback for any purpose whatsoever. You also agree, represent and warrant that all moral rights in the Feedback are waived.

Disclaimer (Not applicable to residents of the province of Québec)

The Registration Site, Content and material relating to the Program or MBC information, products, and services (or to third-party information, products, and services), is provided, “as is”. MBC disclaims any representation, warranties and conditions either express or implied, to the maximum extent permissible under law, including but not limited to the implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and implied warranties and conditions arising from the course of dealing or course of performance. Without limiting the generality of the foregoing, MBC makes no representation, warranty or condition that: (i) the Registration Site will be compatible with your computer and related equipment and software; (ii) the Registration Site will be available or will function without interruption or will be free of errors or that any errors will be corrected; or (iii) the use of the Registration Site will not infringe the rights (including the intellectual property rights) of any person; and MBC hereby disclaims any and all liability regarding such matters to the fullest extent permitted by law. The information, and Content included in the Registration Site may not be comprehensive and, despite our efforts, it may not be accurate, up to date, or applicable to the circumstances of any particular case. In addition, the integrity of the Registration Site, and the use made of the Registration Site cannot be guaranteed to be secure, free from viruses, Trojan horses, worms or other destructive, or disruptive components, defects, or error-free as information could be intercepted, corrupted, lost, or destroyed.

Limitation of liability (Not applicable to residents of the Province of Québec)

TO THE EXTENT PERMITTED BY LAW, NONE OF MBC, YOUR PARTICIPATING DEALERSHIP, HOLT RENFREW, NOR THEIR PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, OR EMPLOYEES (COLLECTIVELY, THE “PARTIES”) WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY, MULTIPLIED, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR REVENUES OR FAILURE TO REALIZE EXPECTED SAVINGS, OR ANY DAMAGES WHATSOEVER, WHETHER UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER THEORY, INCLUDING, WITHOUT LIMITATION, ARISING OUT OF OR IN CONNECTION WITH ANY LOSS OR OTHER DAMAGES IN CONNECTION WITH ANY UNAVAILABILITY OR NONPERFORMANCE OF THE REGISTRATION SITE. NOTWITHSTANDING ANY OTHER PROVISIONS OF THESE TERMS, THE AGGREGATE LIABILITY OF ALL PARTIES TO YOU SHALL IN NO EVENT EXCEED $50.00 CDN.

I HEREBY ACKNOWLEDGE AND AGREE THAT HOLT, RENFREW & CO., LIMITED IS NOT RESPONSIBLE OR LIABLE FOR MERCEDES-BENZ CANADA INC.’S OR A DEALER’S ACTS OR OMISSIONS IN RELATION TO THE TEST DRIVE.

General Terms.

The Terms as it may be amended in compliance with applicable law constitute the entire agreement between you and MBC with respect to the Program and supersede any previous and contemporaneous communications, representations, understandings and agreements, whether oral or written, between MBC and you with respect to such subject matter.

The provisions of the Terms shall enure to the benefit of and be binding upon MBC and its successors and assigns and related persons, and you and your heirs, executors, administrators, successors, and personal representatives (and those of any person you represent). You cannot assign any of your rights or delegate any of your obligations under the Terms. We may, however, assign any of our rights and obligations under these Terms to a third party, without obtaining your prior consent.

The failure or delay by us to exercise or enforce any right or provision of the Terms will not constitute a waiver of future enforcement of that right or provision.

To the exception of residents of the Province of Québec, any disputes relating to the Program and the Terms will be governed by the laws of the Province of Ontario and you irrevocably attorn to the jurisdiction of the Courts of the City of Toronto. If you are a resident of the province of Québec, any disputes or claims you have against MBC shall be exclusively governed by the laws of the Province of Québec and the applicable federal laws of Canada. In such a case, the courts of the Province of Québec shall have jurisdiction over the resolution of any claims or disputes you may have against MBC.

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remaining provisions, which shall remain in full force and effect to the maximum extent permitted by applicable law.

Applicable only if you reside in the Province of Québec: You acknowledge having been offered the choice to enter into these Terms in English and in French and having expressly requested to enter into these Terms in English only, after being provided with the French version. Therefore, the parties hereby consent to these Terms being drawn up exclusively in English and to have all related documents be drawn up in English only. Vous reconnaissez vous être fait offrir le choix de conclure ce contrat en anglais et en français et avoir expressément demandé de le conclure uniquement en anglais, après avoir reçu la version française. Par conséquent, les parties conviennent que ce contrat soit rédigé exclusivement en anglais et que tous les documents qui s’y rattachent soient uniquement en anglais.
